Terms and Conditions

Welcome to our Digital Marketing Agency ("we," "our," or "us"). By accessing our website or engaging our digital marketing, advertising, SEO, or consulting services, you agree to be bound by the following Terms and Conditions.

1. Scope of Services

The specific marketing deliverables, timelines, and budgets will be defined in a separate Statement of Work (SOW) or Service Agreement signed by both parties. Any modifications or additions to the scope must be agreed upon in writing.

2. Fees, Invoicing, and Payment

Payment Terms: Client agrees to pay all fees according to the schedule specified in the SOW. Monthly retainer services are billed in advance and are due within 14 days of the invoice date.

Late Payments: We reserve the right to suspend all active marketing campaigns, ad accounts, and services if payments are overdue by more than 7 days.

Ad Spend: Unless explicitly stated otherwise, all third-party advertising spend (e.g., Google Ads, Meta Ads) is billed directly to the Client's credit card by the respective ad platform.

3. Lead Generation and Advertising

Digi Triv Technologies may use advertising platforms such as Meta and Google to promote our services and generate business enquiries.

If you submit your information through an advertisement, lead form, landing page, or other marketing campaign, we may use the information you provide to contact you regarding your enquiry or the services you requested.

Advertising and analytics platforms may also use cookies, pixels, or similar technologies according to their own privacy policies and terms.

3. Strict No-Refunds Policy

Due to the digital nature of our Services, the manual labor involved, and the immediate allocation of resources, all payments made to the Agency are strictly non-refundable.

No refunds or credits will be issued for partial months of service, setup fees, or onboarding costs.

In the event of early termination by the Client, any fees paid for the current billing cycle will be retained by the Agency.

4. Client Responsibilities and Approvals

Access & Materials: The Client must promptly provide all necessary brand assets, ad account access, and information required for us to perform the Services.

Approvals: The Client is responsible for reviewing and approving all creative copy, designs, and campaign setups. We are not liable for errors in materials that the Client has approved.

5. Intellectual Property (IP)

Pre-existing IP: Each party retains ownership of its pre-existing intellectual property, tools, and proprietary methodologies.

Deliverables: Upon full and final payment of all outstanding invoices, ownership of final creative materials (e.g., graphics, ad copy, written content) transfers to the Client.

Platform Ownership: Ad accounts, Google Analytics properties, and Tag Manager containers created on behalf of the Client belong to the Client, provided all accounts are fully settled.

6. Term and Termination

Retainer Services: Either party may terminate a recurring monthly service agreement by providing 30 days' written notice to the other party.

Immediate Termination: We reserve the right to terminate services immediately if the Client violates these Terms, fails to pay, or acts fraudulently.

7.Limitation of Liability and Guarantees

No Guarantees: While we use industry-standard strategies to optimize campaigns, digital marketing success depends on shifting algorithms, market conditions, and competitor actions. We do not guarantee specific sales, traffic, search engine rankings, or conversion metrics.

Liability Cap: To the maximum extent permitted by law, our total liability for any claim arising out of this Agreement will not exceed the total fees paid by the Client to the Agency during the three (3) months preceding the claim.

8. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Ahmedabad, Gujarat, India.
